EXPLANATORY NOTE

 

DEREGISTRATION OF SECURITIES

 

This Post-Effective Amendment No. 1 (the “Post-Effective Amendment”) amends the Registration Statement on Form S-8, Registration No. 333-257140 (the “Registration Statement”), filed by Steel Partners Holdings L.P., a Delaware limited partnership (the “Company”) with the Securities and Exchange Commission on June 16, 2021, registering 1,000,000 of the Company’s common limited partnership units, no par value (the “Common Units”), for issuance or sale pursuant to the Company’s 2018 Incentive Award Plan (the “2018 Plan”).

 

The offering of the Company’s securities pursuant to the Registration Statement has been terminated. In accordance with an undertaking made by the Company in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities registered under the Registration Statement that remain unsold at the termination of the offering, the Company hereby removes from registration any of the securities of the Company registered under the Registration Statement that remain unsold under the Registration Statement as of the filing date of this Post-Effective Amendment.
