Submission of Matters to a Vote of Security Holders.

On December 17, 2023, Kensington Capital Sponsor V LLC, the holder of the Class B ordinary shares of Kensington Capital Acquisition Corp. V, a Cayman Islands exempted company incorporated with limited liability (the “Company”), re-elected in its entirety the Board of Directors of the Company (Justin Mirro, John Arney, William E. Kassling, Anders Pettersson, Michael Quain, Mark Robertshaw and Nickolas Vande Steeg).
