( 2)  Restricted Stock Units are granted under the Jackson Hewitt Tax Service Inc. Amended and Restated 2004 Equity and Incentive Plan. Each Restricted Stock Unit is payable in one share of Jackson Hewitt Tax Service Inc. common stock within 60 days immediately following the date upon which the holder's services as a member of the Board of Directors of Jackson Hewitt Tax Service Inc. terminates for any reason.
( 3)  10,729.61 of these Restricted Stock Units were granted to Mr. Reilly on September 23, 2009 in connection with his commencement of service as a director of Jackson Hewitt Tax Service Inc., and these Restricted Stock Units will become exercisable with respect to 25% of the Restricted Stock Units on each of the first four anniversaries of September 23, 2009, subject to Mr. Reilly's continued service on the Board on the vesting date.
