We have agreed
that we will not, directly or indirectly, sell, offer, contract or grant any option to sell, pledge, transfer or establish an open put equivalent position within the meaning of Rule 16a-1(h) under
the Exchange Act, or otherwise dispose of or transfer, or announce the offering of, or file any registration statement under the Securities Act in respect of, any shares of common stock or securities exchangeable for or convertible into common
stock, or enter into any swap or other agreement that transfers, in whole or in part, any of the economic consequences of ownership of shares of common stock or securities exchangeable for or convertible into common stock, without the prior written
consent of J.P. Morgan Securities LLC for a period of 60 days after the date of this prospectus supplement, other than the shares of our common stock to be sold in the Offering.
Certain of our directors and officers (such persons, the lock-up parties) have entered
into lock-up agreements with the underwriters prior to the commencement of the Offering pursuant to which each lock-up party, with limited exceptions, for a period of
60 days after the date of this prospectus supplement (such period, the restricted period), may not (and may not cause any of their direct or indirect affiliates to), without the prior written consent of J.P. Morgan Securities LLC,
(1) offer, pledge, sell, contract to sell, sell any option or contract to purchase, purchase any option or contract to sell, grant any option, right or warrant to purchase, lend or otherwise transfer or dispose of, directly or indirectly, any

(3) make any demand for, or exercise any right with respect to, the registration of any lock-up securities, or (4) publicly disclose the intention to do any of the foregoing. Such persons or entities
have acknowledged and agreed that the foregoing precludes the lock-up party from engaging in any hedging or other transactions or arrangements (including, without limitation, any short sale or the purchase or
sale of, or entry into, any put or call option, or combination thereof, forward, swap or any other derivative transaction or instrument, however described or defined) designed or intended, or which could reasonably be expected to lead to or result
in, a sale or disposition or transfer (whether by the signatory or any other person) of any economic consequences of ownership, in whole or in part, directly or indirectly, of any lock-up securities, whether
any such transaction or arrangement (or instrument provided for thereunder) would be settled by delivery of lock-up securities, in cash or otherwise.
The restrictions described in the immediately preceding paragraph and contained in the lock-up
agreements between the underwriters and the lock-up parties do not apply, subject in certain cases to various conditions, to certain transactions, including (a) transfers or other dispositions of lock-up securities: (i) as a bona fide gift or gifts (intended as a charitable donation or otherwise), or for bona fide estate planning purposes, (ii) by will, other testamentary document or intestacy,
