Explanation of Responses:

The shares are held by Arborview Capital Partners LP ("ACP"). The Reporting Person is a managing member and a member of the investment committee of the ultimate general partner of ACP and, as a result, may be deemed to share voting and investment power with respect to the shares held by ACP. The Reporting Person disclaims beneficial ownership of such shares, except to the extent of his pecuniary interest therein, and the inclusion of the shares in this report shall not be deemed to be an admission of beneficial ownership of the reported shares for purposes of Section 16 of the Securities Exchange Act of 1934 or otherwise.

Remarks: In a Form 4 filed by the Reporting Person on August 5, 2020, the box indicating "no longer subject to Section 16" was inadvertently checked. The Reporting Person has remained subject to Section 16, and all changes in beneficial ownership subsequent to such Form 4 have been properly reported on a timely basis.
