They posted this in one of the news releases when they were soliciting votes.

"Ritter stockholders should also be aware that they will not be subject to a lock-up period following the merger".

“Immediately following the closing, Ritter will be renamed “Qualigen Therapeutics, Inc.,” and is expected to trade on The Nasdaq Capital Market on a post-reverse stock split basis under the new ticker symbol “QLGN” beginning on Tuesday, May 26, 2020.”

Does that mean our shares just turn into QLGN? Or do we have to do something?

They chose the lesser number of 25 for 1. I don't know about you but this merger and split may pan out to the good. May miss something good to get out.


Persons who hold Ritter common stock immediately prior to the reverse stock split and merger will be entitled to receive a distribution of nontransferable Ritter contingent value rights from the Company. It's evident that with premarket trading they didn't split stock yesterday like was said would happen.??? They must have decided to wait. I was told news would be out this morning before market open. Let's see if that is true

Based on the info I received: press release today of meeting results,which they did, after close Thursday stock would split which would mean it will start trading Friday under new ticker symbol QLGN. Just don't know the split number yet. They will probably do another press release Thursday after market close with that.

Under the agreement, pre-merger Ritter Pharmaceuticals stockholders will own approximately 7.5% of the post-merger combined company. On the other hand, the pre-merger Qualigen stockholders will own approximately 92.5% of the post-merger combined company on a fully-diluted basis.
Prior to closing, the company will change its name to Qualigen Therapeutics and continue trading on Nasdaq Capital Market under the symbol "QLGN."

Never have liked reverse splits but hopefully this one will be beneficial to the pps along with the merger. There may be others but only remember one that had reverse split and merger with name change that did extremely well afterwards. Maybe this will be another. GLTA
