The reported transaction represents 7062 shares of common stock tendered to Eclipse Acquisition Corp. (Purchaser"), a wholly-owned subsidiary of Pfizer Inc. (Pfizer"), pursuant to Purchaser's offer to purchase all of the issued and outstanding shares of common stock of Issuer at a price per share of $6.00, net to the holder thereof in cash, without interest thereon, less any applicable withholding and transfer taxes, upon the terms and subject to the conditions set forth in the Offer to Purchase for Cash, filed with the SEC by Pfizer and Purchaser on August 3, 2011, as amended.
