Explanation of Responses:
(1)	The shares of Class B common stock are automatically convertible into the issuer's shares of Class A common stock at the time of the issuer's initial business combination on a one-for-one basis, subject to adjustment pursuant to certain anti-dilution rights, and have no expiration date. The shares of Class B common stock are subject to forfeiture under certain circumstances relating to the Reporting Person's service on the issuer's Board of Directors.
(2)	In connection with the Reporting Person's appointment to the issuer's Board of Directors, 5:01 Acquisition LLC transferred 30,000 shares of Class B common stock to the Reporting Person.
