EPIC Epicor Software Corp. (MM)

Levi & Korsinsky is investigating the Board of Directors of Epicor Software Corporation (Nasdaq: EPIC) for possible breaches of fiduciary duty and other violations of state law in connection with the sale of the Company to Apax Partners Holdings Ltd. via a tender offer under which Epicor Software shareholders will receive $12.50 per share in cash. The tender offer is scheduled to be launched by April 8, 2011 and expire at the later of two days after the go shop period, (the go-shop ends on May 4, 2011), or 20 days after the launch. The Company agreed to a termination fee of $40,000,000, which drops to $15,000,000 for a termination with a qualified go-shop bidder and if other conditions are met.

The investigation concerns whether the Epicor Software Board of Directors breached their fiduciary duties to Epicor Software stockholders by failing to adequately shop the Company before entering into this transaction. In particular, the median price target set by six analysts for Epicor Software stock is $13 per share and at least one analyst set a price target of $14 per share. Also, after the deal was announced, equities research analysts at Feltl & Co. downgraded shares of Epicor from a “buy” rating to a “hold” rating.
