Item 4.01. Changes in Registrant’s Certifying Accountant.

As previously disclosed in a Current Report on Form 8-K filed with the Securities and Exchange Commission on December 22, 2023, Alternus Clean Energy, Inc. (the “Company”), with the approval of the Audit Committee (the “Committee”) of the board of directors of the Company, dismissed BDO USA P.C. as the Company’s independent registered public accounting firm, effective as of December 22, 2023.

On January 27, 2024, with the approval of the Committee, the Company engaged Mazars USA LLP (“Mazars”) as the Company’s independent registered public accounting firm for the fiscal year ended December 31, 2023, effective immediately.

During the two most recent fiscal years and in the subsequent interim period through January 31, 2024, neither the Company, nor anyone on its behalf, has consulted Mazars with respect to (1) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s consolidated financial statements, and neither a written report was provided to the Company nor oral advice was provided to the Company that Mazars concluded was an important factor considered by the Company in reaching a decision as to the accounting, auditing or financial reporting issue or (2) any matter that was either the subject of a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K).
