Comment on our management structure and practices going forward

Following the resignation of Yasuo Takei as Chairman and Representative
Director of Takefuji Corporation on 8th December, Takefuji Corporation is
making changes to its management structure and practices. In order to promote
the sharing of information within the organization and to make our decision
making processes transparent, we have decided to hold a regular Managing
Directors meeting on at least a weekly basis.

In July 2002 we established a Compliance Committee in order to strengthen
our compliance with relevant rules and regulations. The effectiveness of this
organisation will now be further enhanced by inviting a number of independent
outside experts in this field to join the Committee and to provide objective
comments and advice on our management structure and practices. Additionally
we will provide the committee with more administrative support in the form of
a newly-established office, provisionally titled the Compliance Control Room.
We will also appoint internal control managers in each major department both
at headquarters and in the branches, whose responsibility it will be to hold
regular training meetings and to monitor compliance in general. The setting
up of an internal information hot line should also increase the flow of input
from our employees.

As soon as the details of this plan have been confirmed I intend to make a
further announcement, including the names of the new independent members of
the compliance committee.

We at Takefuji Corporation intend to work in the spirit of the company's
founding principal of putting the customer first, and to carry out a thorough
reform of our management practices, retaining the many valuable aspects of our
history to date, while eliminating the errors of the past-
