                   Warner Estate Holdings PLC ("the Company")

                             Retirement of Director


Richard Moore has advised the Company of his intention to retire as a Director
of the Company at the conclusion of the Company's Annual General Meeting to be
held on 7 September 2006.  As announced on 1 November 2005, Richard reduced his
involvement with the Group with effect from 1 January 2006, stepping down as
Property Director in favour of Michael Stevens.

The Board is grateful to Richard for his valuable contribution to the Group
since he joined the Company in July 2000 and his subsequent appointment to the
Board as Property Director in April 2001.
