Notification of Interest of Director in Shares of Woolworths Group Plc

On 4th October 2001 Keith Fleming, a Director of Woolworths Group Plc purchased 
for his own account 148,202 Ordinary Shares at a price of 34 3/4 pence per 
share.  This holding represents 0.011% of the issued share capital of the 
Company and is Mr Fleming's total holding.

The purchase was made following written clearance to deal given by the Company 
in accordance with The Model Code.

The disclosure to the Company by Mr Fleming of his interest in shares of 
Woolworths Group Plc was made on 8th October 2001 in compliance with Section 324
of the Companies Act 1985 and in line with The Model Code.
