Virtual Internet plc ("Virtual Internet" or the "Company")

Statement re: Possible Offer

On 7 December 2001, the Board of Virtual Internet announced that it was in
discussions which might or might not lead to an offer for the Company. Following
a period of negotiations, the Board announced on 25 January 2002 that those
discussions had terminated.


The Board has today recommenced discussions with the same potential offeror and
hopes to announce the terms of a recommended offer in due course.


In the meantime, the Board advises shareholders to take no action. A further
announcement will be made as soon as possible.
