                          Acquisition of Upstart Games


Further to the announcement of 31 August 2006, Sun 3C Media Plc ("Sun 3C" or 
"the Company"), the integrated new media company listed on AIM (AIM: SCCC), is
pleased to announce that it has completed the acquisition of Upstart Games
Limited ("Upstart Games" or "Upstart"), a leading developer and publisher of
mobile games.


The acquisition of Upstart is a key component of Sun 3C's "brick then click"
strategy enabling Sun 3C to use its content rights to Chinese media brands to
deploy next-generation mobile 3C services (content, community platforms and
e-commerce solutions) both within China and globally.


The acquisition of Upstart Games brings in several key components to Sun 3C's
mobile media plan, including a management team with international experience in
the media, e-commerce, and telecommunications sectors and a library of
international content, which can be deployed in the China market, including its
popular Best of WestTM Games Service and it's forthcoming mobile e-reader
technology. In addition, Upstart's existing international development and
distribution business will be expanded to incorporate Sun 3C's media assets,
which will further enhance Sun 3C's business internationally.


Upstart Games' recent research and development activities have created a number
of proprietary mobile technologies and non-gaming products.  Combining this with
the economies of scale afforded by the Chinese market and the content rights of
Sun 3C, will allow Upstart to develop an innovative, highly scaleable suite of
services for the Chinese market.


According to the terms of the Share Purchase Agreement with Upstart, Sun 3C
purchased 100% of Upstart Games for a consideration price of #7,850,000, to be
satisfied through an initial cash consideration of #500,000 and a further
deferred cash consideration of #1,350,000 to be paid in installments on an equal
quarterly basis within a year of signing the agreement.  The remaining
consideration is to be satisfied by  the allotment of 30,000,000 new ordinary
shares in Sun 3C ("Shares") at a fixed price of 20 pence per Share, of which
10,000,000 Shares will be held in escrow pending fulfillment of a number of
performance criteria by Upstart.   As part of the agreement, Sun 3C has
committed to invest an additional #500,000 to finance Upstart's business
expansion in the Chinese and International Markets.  Application has been made
for the Shares to be admitted to trading on AIM with effect from 29 November
2006.


In the year ended 31 December 2005, Upstart's unaudited accounts reported a loss
before taxation of Euro170,192 on revenue of Euro2,023,256.  As at 31 December 2005
the unaudited net assets of Upstart were Euro153,348.  Upstart's intangible assets
include its proprietary software development platform, distribution contracts
and licenses with multiple international games publishers and mobile operators,
including prestigious contracts with NTT DoCoMo, Vodafone and Verizon Wireless.
