Directorate Changes

Parseq, a leading provider of technology-led turnkey outsourcing solutions and mobile and online banking software, announces that, following the announcement on 1 December 2011 of the offer by CNH Bidco Limited to acquire the entire issued share capital of Parseq becoming wholly unconditional, Richard Last (Non-executive Chairman), Clive Richards (Non-executive Director), Simon Rubin (Non-executive Director) and Phillip Blundell (Chief Financial Officer) have stepped down from the board of the Company with immediate effect. Rami Cassis remains on the board as Chief Executive Officer.

The following Board appointments have simultaneously been made with immediate effect:

1. David John Carman (61) as a Non-executive Director of the Company. Mr. Carman, who is an operating partner and director of Nova Capital Management Limited, is a director of Red Eye International Limited and non-executive chairman of 1e Limited, DBG Topco Limited, Primal Pictures Limited and Petmeds Limited.

In the last five years, Mr. Carman was also a director of Atrio Limited which was dissolved on 7 July 2010.

During the time Mr. Carman was a director of Telematix Limited, the company was placed into creditors' voluntary liquidation. This was resolved without issue and the matter was closed.

2. David Simon Williamson (54) as a Non-executive Director of the Company. Mr Williamson is a director of Nova Capital Group Limited ('Nova') and of its subsidiary Nova Capital Management, of which he is managing partner. He is a director of a number of other subsidiaries or related companies of Nova namely Nova Capital Management Services Limited, Nova General Partner Limited, Nova Capital Nominees Limited, Nova (GP) Scotland Limited, NCM GP (Midlands) Limited, NCM GP (North) Limited, NCM GP (South) Limited, NCM Management (UK) Limited, UK Boxer Midco Limited, UK Boxer Bidco 1 Limited, UK Boxer Holdco Limited and UK Boxer Propco Holdco Limited. He is also a partner of Cherwell Films LLP, Tamar Films LLP and Wye Films LLP. He is a director of CompactGTL plc and CNH Bidco Limited. In the last 5 years he has also been a director of Bibby Scientific Ltd.

He was also previously a director of Springboard Limited (formerly Springboard plc) which is currently undergoing a solvent liquidation. He was, until 2001, a director and chief executive of Granville plc (which changed its name to Robert W. Baird Group Limited). He represented Granville on the boards of a number of investee companies including Onix Group Limited and Goldrelay Limited, together with its subsidiary Norman Magnetics Limited, all of which underwent insolvency proceedings and were dissolved in 1995, 1992 and 1996 respectively. There was no action taken against Mr Williamson as a director of these companies by creditors and all issues are now resolved.

3. Simon Mark Smith (51) as a Non-executive Director of the Company. Mr. Smith is a director of the following companies: Pathbrae Ventures Limited, Nova Capital Management Limited, Hydrobolt Group Holdings Limited, Antler Limited, Personnel Advisory Services Limited, WH 345 Limited, Octopus VCT 4 Plc, CNH Bidco Limited and Metalico Limited.

In the last five years, Mr. Smith has also been a director of Covion Holdings Limited, Accura Support Services Limited, Springboard Limited, Bluebell Telecom Group Limited, Springboard Venture Managers Limited, Springboard Partners Limited, Sportizus Limited, Private Capital Exchange.com Limited and Vulcan Services Limited.

During the time Mr. Smith was a non-executive director of Sportizus Limited and following the withdrawal of a line of funding from an investor, the business fell into receivership in 2008 and has subsequently been dissolved.

There are no other disclosures required in accordance with Schedule 2(g) of the AIM Rules for Companies.
