OXFORD INSTRUMENTS PLC

Oxford Instruments plc announced today that Mr John Woodgate who will be 60
years of age in June this year has retired from the Board of Directors, after
33 years with the company. His decision follows major surgery during 1998, 
from which he has successfully recovered.

Sir Peter Williams, Chairman, commented 'we fully understand John's decision 
and on behalf of the Board and all his colleagues in the company, we wish him
and his family every happiness in the future'.
