Deed of Company Arrangement - Central Norseman Gold Corporation Ltd ("CNGC")

The Directors of Norseman Gold plc ("Norseman" or "Company") wish to advise that the CNGC Deed of Company Arrangement, Deed of Deferral and CNGC Creditors Trust have been executed and as a result CNGC is subject to a Deed of Company Arrangement ("DOCA"). Consequently ,pursuant to the terms of the DOCA, control and stewardship of CNGC reverts to its board of directors forthwith.

Subject to arrangement of funding, settlement of the DOCA is planned to occur on or before 20 March 2013 or such other time as agreed by the Deed Administrator.

A further announcement will be made on or before 20 March 2013.
