RECOMMENDED ACQUISITION OF NCIPHER PLC ("NCIPHER") BY THALES UK LIMITED ("THALES
                                      UK")

                     SCHEME OF ARRANGEMENT BECOMES EFFECTIVE

The boards of directors of Thales UK and nCipher are pleased to announce that
the scheme of arrangement under Part 26 of the Companies Act 2006 to implement
the acquisition of nCipher by Thales UK on the terms set out in a circular
nCipher sent to its shareholders on 9 August 2008 (the "Scheme Document") has
become effective in accordance with its terms.

The listing of nCipher Shares on the Official List of the United Kingdom Listing
Authority has been cancelled along with their admission to trading on the main
market of the London Stock Exchange.

Consideration will be despatched to holders of Scheme Shares by Thales UK on or
before 24 October 2008.

Unless the context otherwise requires, terms defined in the Scheme Document have
the same meaning in this announcement.
