          THE MAYFLOWER CORPORATION PLC ("Mayflower" or the "Company")

The Board of Mayflower (the "Board") notes the announcement by Melrose PLC
("Melrose") of its interest in entering into discussions about the possibility
of an offer for the Company. The Board's priority remains to reach a successful
conclusion to the current negotiations with the group's lenders in order to
secure the financial position of the group. The Board does, however, confirm its
willingness to explore further with Melrose the nature of its interest in
Mayflower.


A further announcement will be made in due course.
