                            Resignation of Directors

Hartstone wishes to announce the resignation as directors of the Company of each
of Struan McBride, John Hunter and Christopher Mills, with effect from 25 June
2004.

The Board changes are made as a result of the recent Offers for the Company by
Wooster Investments Pty Limited, which were declared unconditional in all
respects on 11 June 2004.

Unless the context otherwise requires, defined terms used in this announcement
shall have the meanings given to them in the Offer Document and Notices dated 14
May, 2004.
