Notice of General Meeting

Cenkos Securities plc announces today that it has sent to all shareholders notice and details of a General Meeting to be held on Tuesday 4 December 2012 for the purpose of seeking authority from shareholders for the Company to make market purchases of its own ordinary shares of GBP0.01 each ("shares")

On 2 November 2012, the Company announced that pursuant to the authority granted by shareholders at the Company's Annual General Meeting on 10 May 2012, it had purchased 6,800,000 of its shares for cancellation. Following this purchase for cancellation, the Company had utilised almost all of the authority that was granted by shareholders at the Company's Annual General Meeting in May 2012 to make market purchases of its own shares. That authority authorised the Company to make purchases of shares representing approximately 9.9 per cent. of the Company's then issued ordinary share capital.

The Directors consider that although it has utilised almost all of its current authority it would be beneficial to the Company were it to have shareholder authority to retain its flexibility to continue to make market purchases of its own shares at times when the Directors consider that the shares are undervalued. The resolution proposed at the General Meeting therefore seeks authority from shareholders for the Company to make market purchases of shares, such authority being limited to the purchase of 9.9 per cent. of the shares in issue as at 14 November 2012 (6,200,000 shares).
