                           ("ASOS" or "the Company")

                             Directors Shareholding

ASOS was advised yesterday that John Morgan, the Finance Director of the
Company, exercised a share option and subscribed for 607,914 new ordinary shares
at 3.5p per share on 30 June 2004.

Following the share option exercise, John Morgan has a beneficial interest in
787,914 ordinary shares of ASOS, representing 1.13 per cent. of the issued
ordinary share capital as enlarged by the issue of new shares following the
share option exercise referred to above.

As a result of the exercise of the share option referred to above and the
exercise of share options held by other employees, application has today been
made for 1,823,742 new ordinary shares to be admitted to trading on AIM.

The new ordinary shares will rank pari passu with the existing ordinary shares
of the Company and dealings are expected to commence in the new ordinary shares
on 6 July 2004.
