Alltracel Pharmaceuticals plc ("Alltracel" or the "Company")

High Court sanction of Scheme

The Board of Alltracel confirms that on Friday 9 May 2008 the High Court sanctioned the scheme of arrangement under which, inter alia,
Castlerise will acquire Alltracel. The Scheme will become effective upon the issue by the Registrar of Companies of a certificate of
registration of the Court Order.

It is expected that the Court Order will be filed with the Registrar of Companies and the Scheme will become effective on 13 May 2008
('the Effective Date'). On this basis the Transfer Record Time, after which no transfers of Alltracel Shares will be registered, will be
6.00 p.m. today, 12 May 2008. Admission of the Company's ordinary shares to trading on AIM will be cancelled with effect from 7.00 a.m. on
Tuesday 13 May 2008. The last trading day on AIM is today, 12 May 2008.

As detailed in the Scheme Document, consideration due to Alltracel Shareholders under the Scheme will be posted as soon as possible and
in any event note later than 14 days after the Effective Date.
