Re:   Allotment of shares against exercise of Employees Stock Options.

We have to inform you that at the Meeting of the Shareholders/Investors
Grievance Committee of the Board held on December 16, 2004

2,350.shares were allotted against exercise of Stock Options granted to
employees under the Employees Stock Option Scheme 2000,

38,885 shares were allotted against exercise of Stock Options granted to
employees under the Employees Stock Option Scheme 2001

12,125 shares were allotted against exercise of Stock Options granted to
employees under the Employees Stock Option Scheme 2002.



Consequently, the paid up Share Capital of the Company has increased from
17,83,62,794 shares to 17,84,16,154 shares of Rs.10/- face value, as of date.
