Vancouver, BC, Nov. 29, 2019 (GLOBE NEWSWIRE) -- NanoSphere Health Sciences Inc. (CSE: NSHS) (OTC: NSHSF) (“Nanosphere” or “the Company”) reports that it has re-priced and extended the expiry date of an aggregate of 6,190,235 warrants. The warrants were originally issued pursuant to a private placement on December 4, 2017, had an exercise price of $0.75 and had an expiry date of December 4, 2019. The warrants, as amended, will have an exercise price of $0.55 and will expire on December 4, 2021.

The Company further advises that a liquidating trust acting on behalf of the creditors of a company that declared bankruptcy in 2006 has initiated a lawsuit against a former director-officer of the Company in the Federal District Court of Colorado. The claim alleges that the former director-officer made fraudulent disclosures of his financial resources to the trust in connection with the settlement of prior litigation relating to the bankruptcy, resulting in the trust being defrauded into executing the settlement and releasing the former director-officer from the litigation. The trust has named the Company and NanoSphere Health Sciences, LLC (“Nano LLC”), as well as a number of other individuals and business entities, as third party defendants in the current action based on the trust’s assertion that Nano LLC, established in 2013, was founded on funds received from the former director-officer and thus conspired in the fraud. The trust has made no attempt to quantify the claim or amount of damages it is asserting versus the Company. The Company vigorously denies any wrongdoing or liability to the trust and considers the claim against the Company to be frivolous. Based on advice received from litigation counsel, the Company considers the prospect for judgement against the Company to be remote as the claim appears to lack merit, and the Company will vigorously defend itself and seek dismissal from the action. The trustee and the former director-officer are currently in settlement discussions.

The Company further advises that its licensee for Evolve products in Colorado has indicated that it is unable to maintain its manufacture and distribution of the Company’s Evolve products within that territory. The parties are in discussions with respect to the dissolution of the license arrangement and the Company intends to seek out a new licensee.

Welcome to the board! Glad to see another investor. I think as soon as they uplist to the OTC Nanosphere will be recognized. I like them as deep sleepers along with EHVVF and ZLDAF.

I've bought small chunks down in the .30 range because the value is there in the patent alone imo. Evolve will hopefully become a go to brand for dispensaries and doctors one day, but even if that doesn't happen they will license the tech out. It will be very exciting to see them grow. We are EARLY here. Slow and steady wins the race.

I thought that dip might be the start of something a little bigger. But now with the volume that entered on Friday I am beginning to think that was a bottom. MJ market has been rather bland for quite a while and I thought perhaps the big boys might drive it down one more time before they began to load up for this summer and beyond. Still will be a bargain anywhere in this price range. Just chafes my cheapskate.

No I didn't. I am envious. I was trying to get it slightly cheaper. I don't have much of an account so I try to make every dollar buy as much as possible. Will be watching it closely Monday and jump in quick if it looks like it is going to take off. I do think this could be a big one.

I agree totally. I was just curious in the Evolve product as an example of that delivery system.

I do not :/ Their own Evolve product line is really only 1/5th of the reason I am invested. It's great that they are in a 100 dispensaries, but if they lisence the tech they can be in 100 products in a single dispensary, or pharmacy. This patent could truly revolutionize medical delivery applications for any fat soluble medicine.

Would you happen to know anyone personally that has tried their EVOLVE product? If so what was their experience?

Agree, this is a very promising technology and I have faith the company will execute on it. With their patent secured they are now free to aggressively license their technology. They are in 100 storefronts in Colorado and inked their first Cali deal (I believe in Oakland) earlier this year. I expected many more where that came from. Furthermore, they have fully stated their intention to uplist to OTCQX which imo is the greatest catalyst in the near term. Until that happens they will be shut out from many potential investors that don't touch the grey market. They are already listed in Canada however under NSHS which is a huge plus. I expect them to end the year with a close to 100mil mktcap assuming they uplist and announce at least one major license / royalty deal.
