The Tickeri deal? Really? Ok... lets go back in time and take a look.

In 2022 HMBL made roughly $900k in revenue and expenses were $775k. It was never a milly profit. They owed the brothers $5mil each for something that would take a long time to break even. By unwinding the deal, they didn't need to pay the $10mil. Plus, they learned how to run a ticketing business should HMBL... or now... WSCG decide to pursue that function. Ended up costing just under $50k in stock and prizes. That cost was covered by 2022's profits alone.

I wouldn't mind if they found a different board to haunt tho. Their leader said the stock is already dead, but he sticks around anyway.No shortage of high & mighty asses on ihub.

You don't know me at all. I am still doing well on my total investment in HMBL. If the stock completely disappeared today, I would still be doing very well. Yet I believe that we might just see returns that will humble my last return amounts.

Look back at my past posts. I even posted buys beforehand so people know I am actually buying. In the past, I have posted a few sells, but too many of the longs PM'd me telling me I was a traitor for selling shares. I haven't sold any shares since the last run up, but I have accumulated a bit since then. Bought 10mil for $2k yesterday. Not a ton, but adds nicely to my collection. You sound kinda butt-hurt in-reply to a post that wasn't negative.Your post was negative. You were being a high and mighty ass. "hope you can get out and save yourself" type of reply. The two of us who were congratulating each other, know the risks of penny stocks and are comfortable with our positions. What happens in that type of situation is that the past two years of financial statements has to reflect what they would have been without the revenue associated with those assets. While it looks like it disappeared, theoretically it would now be on WSCG’s books…and if they were publicly traded we would see both.

But only HMBL is a pubco…so we only see that side of the ledger.

Again, theoretically HMBL’s exposure to that revenue, more specially the profit or loss associated with it would be in the minority interest it has in WSCG.

So the accounting seems correct.

What is behind that is a separate question.

At some point they are going to need to substantiate the value of the WSCG equity they hold in the Holdco units…assuming they have any left at that point.

Right now if the Pref C took the rest of it, which the remaining Pref C’s could easily do, all that would be left for HMBL is the “value” of a pile of fertilizer in Brazil for which they haven’t even paid for yet.

Maybe, maybe not... TBD imo.

Well in a transaction like that, given when it happened and the fact we know they took all the assets, this is what you would expect to see.

The more salient point, which I think is true is this was a OTC asset strip. Whether that strip was done to get the money producing assets back into Foote’s hands (which is what I think it is) or a play to not have to reveal a true screw-up (intentional or not)…is probably in the eye of the beholder.

Yes, I saw that. Still looks very suspicious to me no matter how it's looked at. Either it was not really there, or it was Foote screwing over HMBL investors, or both. I would trust the new auditor either.

I don't remember, How much did Foote pay, and did he actually pay it.

Who knows, but they do explain it in the 10-K.
As a result of the WSCG purchase of the Company assets, the previous operations of the Company will be reflected as discontinued operations, and the assets that were sold are all reflected as assets under discontinued operations.
The bottom line of the discontinued operations is shown on the income statement…and that is all that is required.

I guess if they were faking a bunch of revenue and Borgers was looking the other way, this might be a way to handle it. But Fruci was engaged on May 9, 2024 and it would have been hard to hide in the re-statement accounting.

The revenue was probably at least, in part, from Tickeri. I think the lawsuit states that Tickeri revenue was never more than $1 million a year, so having $1 million of Tickeri revenue in January 2023 alone appears very unlikely.

By "speculation" are you are referring to posts about what a sham this company is?

That would be because they sold the revenue producing assets and are giving the numbers as if they never existed in 2023. They are discontinued operations.

It’s not unusual.

Well that seems a bit damning.

At first I was going to suggest that maybe the $1 million of revenue that disappeared was the result of a disagreement of the timing of the revenue recognition. Lord knows lots of companies have "stuffed the channel" meaning they recognize revenue too early in order to get some sort of bonus payment or even just to avoid missing analysts' expectations.

But I took another look at HMBL's 2024 financials and the total revenue for calendar year 2024 was still zero. So the revenue was on the original 2023 financial statement and has not been seen since.

Maybe the 2023 revenue was from the Tickeri deal, which was ultimately unwound. I kinda forgot how unsavory the Tickeri debacle was. HMBL announced the acquisition of Tickeri in 2021. In February 2023 HMBL issued a PR stating that Tickeri was being spun-off and touting that doing so was going to reduce HMBL debt by over $ 10.8 million.


San Diego, California, Feb. 10, 2023 (GLOBE NEWSWIRE) -- HUMBL, Inc. (OTCQB: HMBL) announced the spin-off of Tickeri, Inc. in a strategic move to focus resources exclusively on developing and releasing HUMBL’s own core technologies and customer funnel. Spinning off this subsidiary allows HUMBL to tailor capital allocation strategies, reduce burn rate and make company-specific investment decisions to drive long term growth and value.

The next paragraph:

In an agreement executed with the Tickeri founders on January 31, 2023, the parties mutually released all liabilities and the Tickeri assets were transferred back to its founders, cancelling related promissory notes. The spin-off will strengthen HUMBL’s balance sheet by significantly reducing company debt by $10,852,916 and enhancing shareholder’s equity.

So the deal was 100% unwound. The original Tickeri owners got their company back and the HMBL promissory notes payable to the Tickeri owners were canceled. The original acquisition consisted of assumption of debt (which was reverted back to Tickeri's owners) and HBML common stock which the Tickeri folks got to keep even after the deal was canceled.

The revenue went from over a million to zero for one.
