Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
On October 8, 2018, Sarah Friar, the Chief Financial Officer of Square, Inc. (the
Company), informed the Company of her intention to resign from her position in order to accept a position as Chief Executive Officer of Nextdoor. Ms. Friars decision to resign was not related to any disagreement with the
Company on any matter relating to the Companys accounting, strategy, leadership, operations, policies or practices (financial or otherwise).
Ms. Friar will continue in her current position as Chief Financial Officer into December 2018. David Viniar, the Companys Lead Independent Director
and former Chief Financial Officer of Goldman Sachs, will lead the search for a new Chief Financial Officer.
