Explanation of Responses:
( 1)  OccuLogix, Inc. (?OCCX?) effected a 1:25 reverse stock split on Oct. 7, 2008. The exercise price and the number of underlying shares reported on this Form 4 have been reverse split-adjusted. On Oct. 6, 2008, Mr. Dumencu had been granted 941,621 options with a per share exercise price of $0.10, which options have been reverse split into 37,665 options with a per share exercise of $2.50.
( 2)  The number of OCCX options held by Mr. Dumencu following the transaction reported on this Form 4 has been reverse split-adjusted.
