(b) On February 8, 2009, Hansen Medical, Inc. (the “Company”) and Gary C. Restani, the Company’s President and Chief Operating Officer and a member of the Company’s Board of Directors, agreed that Mr. Restani’s employment with the Company would end on March 1, 2009. While Mr. Restani remains a member of Company’s Board of Directors, he will no longer be an officer of the Company after March 1, 2009.
