Item 8.01. Other Events.

On March 6, 2024, the Board of Directors of the Company authorized and declared a quarterly dividend in the amount of $0.25 per share on the Company's Common Stock. The dividend is payable in cash on April 2, 2024 to stockholders of record at the close of business on March 21, 2024.
