Bank Przemyslowo - Handlowy PBK SA (BPH PBK) informs that it has been notified
today that on 5 January 2004 the Warsaw District Court had registered BPH PBK
Zarzdzanie Funduszami Sp. z o.o. (the Company) with its registered seat in
Warsaw.

The Company share capital amounts to PLN 7,900,000 and is divided into 15,800
stakes of PLN 500 nominal value each. BPH PBK is a sole stakeholder, possessing
100% of the share capital, which entitles to 100% of the total number of votes
at the General Assembly of the Company.

The total amount paid for acquired shares was PLN 7,900,000 and financed with
BPH PBK's own funds.

The shares will be shown in the Bank's books at nominal value, i.e. PLN
7,900,000.

The acquisition of the Company's shares by the Bank is a long-term investment.
