RKT doesn't need any cash for the COOP deal. It's an award of shares, which will definitely be dilutive.

No it's just me trying to reconstruct the history of WAMU and the escrow shares helps me to recreate that. I don't believe anything will happen with the escrow shares but they are sitting in my account just in case

So you have around 645 + COOP shares because of your legacy WAMU holdings only.
That becomes around 7,095 ROCKET shares in a few months.
Rocket sometimes gives out 80 cents per share as dividend. So a small chunk….

Can you explain why you care about anything but your actual COOP shares? I think it’s been well established there isn’t anything else to come from those other old transition shares. Just curious if I missed something. Thanks

AZ your thoughts. As I see the present situation, there are a number of questions that arise. WMIH was created for two major reasons 1. Market immediately WM NOLs(DTAs). 2. Satisfy the APR for the LT.
Questions
1. Do the remaining DTAs go to RKT?
2. Is project Eclipse competed(Shares for Assets)?
3. If the share price of RKT is $5 per share in December what happens?
4. Is COOP capable for refinancing the $5B in notes they owe to us?
5. How many shares of COOP will be exchanged in December?

I believe there are still a lot of holes in this agreement. I would appreciate your thoughts on this!

Good summary. Have you looked at the number of shares Rocket will need to issue to cover the March 10th Redfin all stock deal, and the Mr. Cooper March 31st all stock deal. I hope the shares are absorbed without a lot of dilution in RKT price. Redfin to close Q2/Q3 so some time to digest that prior to the 693M+ COOP is going to need to cover our buy. We paid with money for our shares of Washington mutual! Therefore we should receive cash back for our settlement! I just don’t see how shares of a company would be legal and agreeable for all parties! IMO

Dear Crazy, if you did buy shares shortly after the seizure in 2008 as you claim, you would have at least the residuals of the 2,000 commons you said you bought at $ 3 of WAMU right? Those were converted as follows:

1 WAMUQ = 0.03349842 WMIH
1 WAMKQ = 0.4950146 WMIH
1 WAMPQ = 19.8005825 WMIH
1 WMIH = 29.85215422 WAMUQ
1 WMIH = 2.020142436 WAMKQ
1 WMIH = 0.050503565 WAMPQ

For the commons, that would have left you with about 67 shares of WMIH. That was reduced by a 12:1 split and eventually renamed COOP which would have left you with about 5 shares of COOP on the original purchase you stated you made shortly after the seizure. So... Do you have at least 5 shares of COOP?????

You stated you bought more as the price rose...I can tell you in 2008 shortly after the seizure, in general, the price did not rise overall...it declined into the pinks..

Im not so sure that many of us would enjoy seeing our evolution. I think many of us would like to forget our WAMU evolution :p) Best of luck!

Ownership 75% for P's RKT Value and 25% of for U,s value. per POR 7. This is just for the value of 1.7 trillion of MBS at 35% value per precidence of Lehman evaluation of value. 2012 aprox. The other values:

Brookfield 800 B

JPM 127 B, !50 B, !30 B in Bonds

Toal proceeds : 1.7 Trillion proessed through the DTC/SWF and processed through our broker, it will be sticky

For sure RKT is a stock, probably none of former WAMU investors had considered to buy.

They obviously pay dividends as special dividend, they did that more than once. RKT had a low debt level compared to COOP, given that Cooper had to reduce debt before paying dividends, a benefit could be, from now we collect about 11x 0,8$ special dividends for each old COOP share.

RKTs earnings per share is ugly compared to COOP, but the ratio could improve significantly with falling interest rates. RKT is not so ugly as I thought in the first moment, but our investment is cloaked from now on, and I don't like that either, between 135-140 I will probably say good bye.

Maybe Trump does something regarding housing, that should also be beneficial for RKT.

Plan 6 was never approved or confirmed - it doesn’t exist.

Instead Plan 7 was confirmed and executed - which led to the LT and distribution of WMIH shares.

I guess I was wrong and we are getting RKT shares. I'm very unhapppy about it. That's what I hate about the stock market. You give yout money to total strangers and they do what they please with it. We didn't even get to vote on this. I can only hope that RKT goes up, but I never would have bought it on my own, I don't know whether I should sell COOP right now. I would appreciate anyones thoughts on this. TIA

I I take this to mean we will still will own COOP.
Other companies are owned by other companies, but they still trade as themselves.
I think and hope everyone who says we are getting 11 RKT for 1 COOP is wrong and we still own COOP.

For me this was the nail in the coffin. I think WMIH became Mr. cooper group by acquiring nationstar. this way WMI's NOL can be used and us shareholders can get something and that was it. In orderf or NOL to be used WMIH had to be the holder of NOL and be able to utilize it 100%. No other companies could acquire WMIH to use its NOL. So WMIH became Mr. Cooper group.

I don’t know what this ads, but I would just say that I was talking with a young fella today, who is a manager at a Land rover store.. was telling him a little bit about Mr. Cooper group and rocket acquisition and he said he used to do mortgages before he got into this part of the business and said he loves rockets platform how easy it is for people to get mortgages. He always thought highly of them when he was in the mortgage business for a bank.

Yes, just remember that rocket has taken on a lot. They’re still trying to assimilate redfin and now Mr Cooper. This is not a great start of the year and hopefully next year interest rates will stabilize lower. The country will become a little more ease because right now everything is off the table..

What I don’t know, but what I hope, is that they
are able to absorb Redfinand Mr. Cooper group wonderfully and the efficiencies of the platform Mr. Cooper group brings with the extra servicing base along with rockets wonderful origination will see rocket go to $30-$40 over the next 3 to 4 years
Plus retain their dividend.

watch for the short hedge funds to start with the arbitrage of RKT and coop to get cheap shares in the next 3 quarters....how?.... buy call options on coop, push up the price of RKT, and the calls expand... then sell RKT down, and coop stock falls...in between these trades the short hedge funds are collecting premium, and making money shorting the stocks....IMO the prices of both these stocks are set to make big swings into the closure of the merger......JMO only...... no advice to buy or sell options.....however, I will be on watch because I understand what these mofos do...... There will be some selling,but because COOP brings VALUE,and makes RKT better,IMO it will recover quickly and head to 20.00.

With the purchase of COOP REDFIN being added to their vast portfolio...RKT is"Cradle to Grave"...for home buyers.

I agree, windfall…a wonderful windfall. The proof will be in anything after the merger.. Will the amount of shares be overwhelming for them to achieve a growth in earnings per share?

However …if they maintain the $.80 dividend, that’s damn good..

@ goodietime......there are 3 positions to enter an options trade called the strike price...they are "out of the money, near the money, or in the money" depending on which position you take.... for example, I will use
a house with an open door with a bag of money beyond the door:
(1) if you are standing in front of the house, then you are OUT OF THE MONEY
(2) if you are standing in the doorway, then YOU ARE NEAR THE MONEY
(3) if you enter through the doorway, then, YOU ARE IN THE MONEY..
so, for BUYING CALLS, you must be IN THE ,MONEY TO COLLECT.....
for SELLING COVERED CALLS (you own the underlying stock), the BUYER must be IN THE MONEY TO COLLECT
for PUTS it is the opposite:
If you BUY PUTS, the stock must be OUT OF THE MONEY FOR YOU TO COLLECT
IF you SELL PUTS , the price of the stock must be IN THE MONEY, or above the strike price at option expiration
understanding options takes some time, but can be a prosperous source of income..... as always, TIMING IS EVERYTHING IN THE MARKET......Lodas

AND: RKT pays dividends. On April 3, RKT is paying a quarterly dividend of $.80 per share. If you have 100 COOP shares, those shares would be exchanged for 11 RKT shares, which would entitle you to an $880 dividend (COOP shareholders won't be eligible until after the acquisition is final). Their history is an annual dividend yield of $1.28 per share. So, for every 100 COOP shares you may have (1100 RKT shares), you could get $1408 each year, just for owning the stock. If you have 1000 COOP shares, you'll get $14,080 annual dividend after the acquisition.

I know some people are pissed that this acquisition may mean there will be no legacy escrow payment, but if you own COOP stock, this is a great development--a "windfall" as SeekingAlpha put it.
