                            Director's Shareholding


Mr J A Fooks, a Non-executive Director of the Company, has notified the Company
that with effect from 18 May 2004, probate was registered with the Company's
Registrars registering him as an executor of an estate which has an interest in
38,855 Ordinary shares of 5p in the Company, therefore acquiring a
non-beneficial interest in those shares.

Following the registration of the probate in respect of the 38,855 shares, Mr
Fooks has a non-beneficial interest in 59,255 shares, representing 0.12 per
cent. of the Company's issued ordinary share capital.
