                        STOCKBOURNE plc

              DEALINGS BY SUBSTANTIAL SHAREHOLDER

Stockbourne,   the  property  asset  manager   and   leveraged
investor, was notified on Friday 27 February 1998 that on that
day Panther Securities PLC and its associate company, Portnard
Ltd,  sold  their entire holding of 10,300,000  and  7,250,000
ordinary shares in Stockbourne, representing 5.6 per cent  and
3.9  per  cent  of  its  issued shared capital,  respectively.
Accordingly,  the  two companies no longer have  a  notifiable
interest in Stockbourne.

Warner  Estate  Holdings PLC, since May 1997  a  partner  with
Stockbourne  in  a  joint venture, Premierflair  Limited,  has
today notified Stockbourne that it was the purchaser on Friday
27 February 1998 of all the 17,550,000 shares (9.5 per cent of
the issued share capital).
