RESULTS OF SECONDARY PLACING OF ORDINARY SHARES IN WARNER ESTATE HOLDINGS PLC 
("WARNER ESTATE")


JPMorgan Cazenove Limited ("JPMorgan Cazenove") and HSBC Bank ("HSBC") (together
the "Managers") have successfully completed a secondary placing of 7,356,223
ordinary shares in Warner Estate representing 14 per cent. of the issued share
capital of Warner Estate, at a price of 665p per share (the "Placing Shares").
The seller of the Placing Shares was Trefick Limited (the "Seller") who has
confirmed that it has no intention of reducing its shareholding for a period of
at least six months.
