OFFER TO BUY BACK ("OFFER") UP TO 15,229,821 ORDINARY SHARES OF 5p



Shoprite Group P.L.C. ("Shoprite") has today announced an offer to buy back up
to 15,229,821 shares (approximately 20% of the current issued share capital of
the company).  The offer document will be available shortly on the company
website (www.manxshoprite.com) and will also be posted to all shareholders that
 were on the register on 13 October 2006.   Authority for the buy back was
granted on 12 June 2006 at the Annual General Meeting of the Company.  The Offer
price is 11.55 pence, 5% above the current middle market price of 11p. This is
the maximum price that can be paid under the authority which has been granted.
The Offer will close on Thursday 16 November at 3.00pm.



If acceptances are received for a total number of Shares in excess of
15,229,821, then the number of Shares repurchased from each Shareholder will be
pro-rated in accordance with the number of shares held by each Shareholder
participating in the Offer.



Shareholders should be aware that, as the authority limits the Directors to
paying a maximum of 5% above the average middle market quotation of the Shares
for the 10 business days before the purchase is made, if the market quotation of
the shares were to fall during the Offer period so that the average quotation
for the final 10 days of the offer period is less than 11 pence, the Board would
be prevented from paying 11.55 pence.  In these circumstances, alternative
proposals would be considered and Shareholders will be kept informed.
