SANDVINE'S Annual and Special Meeting of Shareholders

TO TAKE PLACE APRIL 11, 2013

Waterloo, Ontario March 7, 2013 - Sandvine Corporation (TSX:SVC; AIM:SAND) ("Sandvine") today announced that its Annual and Special Meeting of Shareholders will take place on April 11, 2013. The meeting will take place at 11:00 a.m. at the Princess Twin Theatre, 46 King Street North, Waterloo, ON. The special business to be acted on at the meeting includes:

1. The consideration of certain amendments to the Corporation's stock option plan to address ongoing refinements to recommended best practices for option plans.

2. The proposed renewal and approval of unallocated options under the Corporation's existing stock option plan as required by the Toronto Stock Exchange rules every three years for a plan of this nature.

3. Shareholder approval to amend the Corporation's Bylaw No. 1 to provide for advance notice of nominations of directors (an "Advance Notice Provision") in circumstances where nominations for election to the Board of Directors are made by shareholders other than pursuant to: (i) a shareholder proposal made in accordance with the Ontario Business Corporations Act ("OBCA"); or (ii) a requisition of a meeting of shareholders made in accordance with the OBCA. The purpose of the Advance Notice Provision is to give sufficient notice and information regarding director nominations so that shareholders can register an informed vote, and to establish a clear, orderly and efficient process for such nominations. The Advance Notice Provision has been adopted by the Board of Directors as of March 6, 2013 to be effective immediately and will be placed before shareholders for confirmation, approval and ratification at the upcoming shareholder meeting. Notwithstanding the foregoing, the Advance Notice Provision shall not apply to the annual and special meeting of shareholders of the Corporation to be held on April 11, 2013 or any adjournment or postponement thereof.
