companies in Oxford Instruments plc ordinary shares of 5p each is as follows:

Notification of the sale of 731 shares from Sir Martin Wood, Martin Lamaison and
John M. Woodgate, Directors of Oxford Instruments plc, was received today.

These dealings are in respect of non-beneficial share holdings held by the
Directors in their capacity as Trustees of the Oxford Instruments plc Share
Participation Scheme.  The decision to deal was taken by the other Trustee of
the scheme acting independently of the Director Trustees on the directions of
the employees entitled to the relevant shares under the scheme.

The Company has been notified today pursuant to the Companies Act 1995 that FMR
Corp (FMRCO) and its direct and indirect subsidiaries and Fidelity International
Limited (FIL) and its direct and indirect subsidiaries have discretion to
exercise voting rights in respect of 2,269,965 shares of 5p each in Oxford
Instruments plc, representing 4.55% of the issued share capital.  Mr Edward C
Johnson 3rd of 82 Devonshire Street, Boston as the principal shareholder of FMR
Corp. and Fidelity International Limited is also deemed to have a notifiable
interest.

The above includes interest held on behalf of authorised unit trust schemes in
the UK, notwithstanding the exemption from reporting pursuant to Section 209(1)
(e) of the Companies Act 1985.
