AGM TRADING UPDATE

Netb2b2 plc ("Netb2b2" or "the Group"), the AIM-quoted business aggregator
focusing on the digital communications sector, is today holding its Annual
General Meeting and will issue the following trading update.

Netb2b2 has traded satisfactorily since the announcement of its preliminary
results on 31 October 2005 and there are growing signs of the development of
Group synergies.  Blue Sky has had a good start to the year, signing new hosting
deals with Sports News Television, Integra and Eversheds as well as the Carbon
Trust, with whom cScape has worked extensively in the past.   cScape is
continuing to grow its portfolio of clients and win long term relationships with
existing clients. The consultancy has recently embarked upon a new intranet
design project for Centrica and in November it won the tender for the CMS web
support and development element of Phase II in the redevelopment of Lewisham
Borough Council's website, a  #110,000 project over six months.

ITM Graphics, has also won a significant new contract with Daltons Weekly
magazine, valued at approximately #700,000 per annum, over 3 years and Netb2b2's
recent move to larger premises reflects the sustained growth in operating
activities and the need for increased capacity across the businesses.  NetPen
continues to expand its partner network and is currently working closely with a
corporation to develop its technology in the fields of safety and compliance and
the duty free and aviation sectors.

Finally, Fernhart New Media ("Fernhart") has performed well since its
acquisition in September, winning further business in the media sector including
BBC, SKY and Iberian Online Advertising along with continued business with Royal
Institute of Chartered Surveyors; a client held in common with cScape.
Following the successful launch of OneStopRacing.com, it has signed affiliate
partnership agreements with Victor Chandler and Sporting Index. Fernhart is well
positioned as a leading partner within the latest Microsoft partner programme
initiative focusing within the Media and Entertainment sectors which positions
the group well to realise new revenues from Microsoft's focus within the home
and specifically the "living room".

Keith Young, Chairman commented: "Overall the Group's financial performance
remains encouraging and although the first half of the year is typically our
quietest, I am confident that we shall achieve a pleasing outcome for the year
as a whole.  The recent high profile contract wins highlight the progress the
Group's operating companies are making and I look forward to updating
shareholders on further positive developments at the time of our interim results
in March 2006."
