Total Voting Rights

The Company announces that it will issue 12,500,000 new ordinary shares in the Company (the "Ordinary Shares") following receipt of a conversion notice from Southern Rock Insurance Company Limited, the holder of GBP500,000 of convertible loan notes, which were originally issued on 8 October 2012. The loan notes will be converted at a price of 4 pence per share with effect from 31 May 2013.

Following the issue of the Ordinary Shares, the shares will be allotted in the name of Rene Nominees (IOM) Limited. Application is being made to AIM for the Ordinary Shares, which will rank pari passu with the existing ordinary shares, to be admitted to trading and the Company anticipates that this will take place on 3 June 2013.

Arron Banks has a beneficial interest in Southern Rock Insurance Company Limited and thus the total number of ordinary shares in which Mr Banks will be beneficially interested is 28,749,825, representing 28.17% of the issued ordinary share capital of the Company.

The Company's new total issued share capital will be 102,070,252 ordinary shares of no par value with voting rights. The Company does not hold any ordinary shares in Treasury.

The figure of 102,070,252 ordinary shares may be used by shareholders in the Company from the date of admission as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
