FAIR OAKS INCOME LIMITED
(the "Company")
Issue of Treasury
Shares
The Company announces that, to satisfy market
demand, it has today issued 848,660 of its 2021 Shares from
treasury. The 2021 Shares will be issued at a price of 57.75 cents
per 2021 Share, a premium to the prevailing net asset value per
2021 Share.
The Company may issue further shares subject to
market demand at a premium to the prevailing NAV and will maintain
its commitment to the share buyback programme announced in
September 2022.
Following this transaction, the
Company announces that the total number of voting rights in respect
of the following class of shares is:

2021 Shares and Realisation Shares
each carry one vote per share held (excluding Shares held in
Treasury). Therefore, the total number of voting rights in the
Company is 432,551,412 and may be used by shareholders
as the denominator for the calculations by which they will
determine if they are required to notify their interest in, or a
change to their interest in the Company under the FCA's Disclosure
Guidance and Transparency Rules.

Fair Oaks Income Limited is a
registered closed-ended investment company incorporated
in Guernsey. The Company was
admitted to trading on the Specialist Fund Market of the London
Stock Exchange (now the Specialist Fund Segment of the Main Market
of the London Stock Exchange) on 12 June 2014.
The investment policy of the Company
is to invest (either directly and/or indirectly through Master Fund
II and Master Fund III) in US and European CLOs or other vehicles
and structures which provide exposure to portfolios consisting
primarily of US and European floating-rate senior secured loans and
which may include non-recourse financing. The Company will
implement its investment policy by remaining invested in the Master
Fund II and making new investments in Master Fund
III.
