Board and Management Changes 
The Board of Dowgate Capital plc ("Dowgate" or the "Company") announces that 
Tony Rawlinson, Executive Chairman, has today resigned from the board of the 
Company. 
Tony was one of the founders of Dowgate Capital Advisers Limited ("DCA"), the 
Company's corporate advisory business, and he has led the growth and development 
of this business since its foundation until today, when the Company and its 
subsidiaries DCA and Dowgate Capital Stockbrokers Limited (together "the Group") 
 are retained by 58 quoted companies as financial advisor or broker. 
Since December 2004, Tony has been Executive Chairman of the Company and has led 
its growth and development, including the acquisition of Ellis Stockbrokers 
Limited in October 2006. 
The Board thanks Tony for his very significant contribution. 
Tony will remain a director of DCA until 31 October 2009 when he will be leaving 
the Group unless otherwise agreed. 
Following Tony's resignation from the board of the Company, Ian Buckley will 
become Non-Executive Chairman of the Company and Neil Badger will remain as its 
sole Executive Director. 
 
 
It is also announced that James Caithie and Liam Murray, directors of DCA, have 
agreed to remain with the Group for eight weeks after the offer by Astaire Group 
plc, should it do so, goes unconditional as to acceptances, following which 
they will terminate their employment unless otherwise agreed.
