Explanatory Statement

The lengthy task of modernising the Company over recent years is
moving nearer to completion and progress to date has been
reasonable, if a little slower than was hoped for.  The year's
trading got off to an unsatisfactory start, and although the results
in the succeeding months have improved, these were still not good
enough to show a profit for the half-year, and it is apparent that
some repositioning of the Company within its sector is still
required.  The detailed review of strategic direction needed for
this has brought about the resignation of William Kane as Managing
Director, but the continuing management of change within the Company
is progressing satisfactorily under the remaining executive
directors who believe that these improvements will be beneficial in
the longer term.

1.The figures for the 12 months ended 31st December 1996 are
  abridged from the statutory accounts for that year.  These
  accounts, upon which the auditors gave an unqualified report,
