                                 Board Changes


Capcon Holdings plc ("Capcon" or the "Company") is pleased to announce the
following changes to the Board of the Company, with effect from 1 November 2002.

Cliff Cavender, formerly finance director, is appointed managing director. He
will continue to retain responsibility for the finance function of Capcon. The
Board is pleased to announce the appointment of Steve Jones, formerly of Capitol
Group plc, as financial controller.

Karine Luckraft, an executive director of Capcon, is appointed business
development director.
