Conversion of Loan Notes and Issue of Equity
CarbonDesk is pleased to announce that it has received notice to
convert the final £103,000 nominal of unsecured 8% convertible loan
notes 2013 ("Convertible Loan Notes", at the conversion price of
5 pence per share, into 2,060,000
ordinary shares in the Company.
In addition, in line with the terms of the Convertible Loan
Notes, the Company has opted to satisfy the remaining £158,336 of
interest, due on the Convertible Loan Notes through the issue of
1,106,727 ordinary shares in the Company, also at a price of
5 pence each.
Following the above conversions and the satisfaction of
interest, there are no Convertible Loan Notes outstanding and no
further interest payment obligations in respect of the Convertible
Loan Notes.
The interest of the Directors and certain substantial
shareholders in the Company following the above allotments are as

In accordance with the FSA's Disclosure and Transparency Rules,
the board confirms that the Company now has 19,654,519 shares of 5p
in issue carrying voting rights.
The above figure may be used by shareholders as the denominator
for the calculations by which they will determine if they are
required to notify their interest in, or change to their interest
in the Company under the FSA's Disclosure and Transparency
Rules.
