Recommended offers for Circle Communications plc

Closing of the Offers and the
de-listing of Circle Ordinary Shares


Southern Star announced on 7th July, 1997 that it had commenced compulsory
acquisition procedures to acquire the outstanding Circle Ordinary Shares in
accordance with the provisions of Sections 428-430F of the Companies Act 1985.

These procedures were completed on 21st August, 1997 and as a result Southern
Star now owns 100 per cent. of the issued share capital of Circle.  Circle has
made an application to the London Stock Exchange for the Circle Ordinary Shares
to be de-listed from the Alternative Investment Market.

Southern Star also announces that the Offers have been closed.

Words defined in the Offer Document dated 5th June, 1997 shall have the same
meaning in this announcement, unless the context otherwise requires.
