Bartercard announces that it has referred various matters relating to former
directors and advisers, which are considered to be irregular, to the appropriate
regulatory authorities. These matters relate to the Company's AGM, held in
October 2005, and the subsequent MBO proposals; the regulatory authorities
include the FSA and the London Stock Exchange.
