Issue of Equity

The Directors of Ashcourt Rowan plc (AIM: ARP), the UK wealth management group, announce that the Company will be issuing 34,843 ordinary shares of 20 pence each in the Group ("Ordinary Shares") to certain employees which have vested under the Company's Long Term Investment Plan.

Application has been made for the new Ordinary Shares, which will when issued rank pari passu with the existing Ordinary Shares in issue, to be admitted to trading on AIM and dealings are expected to commence on 23 April 2013. Following the issue of the new Ordinary Shares as set out above, the total number of shares in issue will be 27,029,330. The Company does not hold any Ordinary Shares in treasury. Therefore the total number of Ordinary Shares in the Company with voting rights is 27,029,330.

The above figure of 27,029,330 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.
