Re:  1) Allotment of 24,166 shares against Conversion of  Foreign Currency
        Convertible Bonds - FCCBs

     2) Allotment of 47,164 shares against exercise of Employees Stock
        Options

We have to inform you that pursuant to the Resolutions passed by Circular dated
February 22, 2006, by the Shareholders/Investors Grievance Committee of the
Board,


24,166 shares were allotted against Conversion of FCCBs by Bond Holders and


4,714 shares were allotted against exercise of Stock Options granted to
employees under the Employees Stock Option Scheme 2001,

7,850 shares were allotted against exercise of Stock Options granted to
employees under the Employees Stock Option Scheme 2002,

5,825 shares were allotted against exercise of Stock Options granted to
employees under the Employees Stock Option Scheme 2003 and

28,775 shares were allotted against exercise of Stock Options granted to
employees under the Employees Stock Option Scheme 2004.



Consequently, the paid up Share Capital of the Company has increased from
18,56,95,093 shares to 18,57,66,423 shares of Rs.10/- face value, as of date.
The Company will shortly be filing applications for listing/trading permission
in respect of these shares.
